Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between you and Kashyap LLC (“Govance”, “we”, “us”) governing your access to and use of https://govance.io, https://app.govance.io, and all related features.

By creating an account, clicking “Sign up”, completing checkout, or otherwise using Govance, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the service.

Description of Service

Govance is a compliance tracking and reminder tool for US businesses. We maintain a database of state filing deadlines, fees, and official portal links; calculate upcoming obligations based on the business information you provide; and send automated email and SMS reminders before due dates.

Govance tracks deadlines and sends automated reminders. We are NOT a law firm and do NOT provide legal advice. We do not file documents on your behalf with any government agency unless explicitly stated in a future feature with separate terms.

Eligibility

You must be at least 18 years old and capable of entering a binding contract to use Govance. You must be authorized to act on behalf of any business you add to your account (as owner, officer, manager, or authorized representative such as a CPA or registered agent).

Govance is intended for users tracking US business compliance obligations. If you access Govance from outside the United States, you are responsible for ensuring your use complies with local laws.

Account Registration

You must provide accurate, current, and complete information when registering and when adding businesses to your account. Inaccurate formation dates, entity types, or states of operation will produce incorrect deadline calculations.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@govance.io if you suspect unauthorized access.

Subscription Plans and Pricing

Govance offers the following plans (prices in USD, billed monthly unless otherwise stated):

• Free — $0/month. One business, deadline previews, no automated reminders.
• Starter — $9/month. One business, full deadline tracking, email reminders.
• Pro — $19/month. Up to three businesses, email and SMS reminders, document storage.
• Agency — $39/month. Unlimited businesses, client dashboard, and white-label reminder options for accountants and advisors.

Plan features and limits are described on our pricing page. We may change plan features or pricing with notice as described in “Changes to Terms” below. Existing subscribers will be notified before price increases take effect on renewal.

Paid plans include a 14-day free trial where stated on the pricing page. You will not be charged until the trial ends if you provide a payment method at signup.

Billing and Payment

Paid subscriptions renew automatically on the same calendar day each month (or year, for annual plans if offered). Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on file for each billing period until you cancel.

We will email you approximately 3 days before each renewal with the renewal date, amount, and a link to manage your subscription in the Stripe Customer Portal.

You are responsible for keeping your payment method current. Failed payments may result in suspension of paid features until the balance is resolved. Taxes may apply based on your billing address.

Cancellation Policy

Cancel anytime from your dashboard under Billing → Cancel Plan, or via the Stripe Customer Portal link in your billing emails. Cancellation takes effect at the end of your current billing period. You retain access to paid features until that date. There are no cancellation fees.

After cancellation, your account may revert to the Free plan or become read-only according to your plan terms. Data retention after cancellation is described in “Data Retention After Cancellation” below.

Refund Policy

14-day money-back guarantee: If you are unsatisfied with your first paid subscription payment, email hello@govance.io within 14 days of that charge for a full refund.

After 14 days: Monthly subscriptions are non-refundable for the current billing period. You may cancel to prevent future charges.

Annual plans: If you paid annually, you may request a prorated refund for unused months within 30 days of the annual payment date by emailing hello@govance.io.

Refunds are issued to the original payment method through Stripe. Abuse of the refund policy (including repeated sign-up and refund cycles) may result in account termination.

Free Plan Terms

The Free plan requires no credit card and has no time limit, subject to the feature limits described on our pricing page. We may modify Free plan limits with reasonable notice. Free accounts are subject to these Terms and our Privacy Policy.

User Responsibilities

You agree to:

• Provide accurate business information and keep it up to date
• Pay subscription fees on time for paid plans
• Comply with all applicable federal, state, and local laws in your use of Govance
• Verify all filing deadlines and requirements with official government sources before acting
• Not resell, sublicense, or white-label the service except as permitted on the Agency plan
• Not use Govance in any way that could harm the platform, other users, or our reputation

Prohibited Uses

You may not:

• Scrape, crawl, or use automated means to extract data from Govance without written permission
• Impersonate another person or misrepresent your affiliation with a business
• Use the service for any illegal purpose or to transmit malware or spam
• Share account credentials or allow unauthorized users to access your dashboard
• Attempt to bypass security, access other users' data, or interfere with platform operation
• Reverse engineer the application except where permitted by applicable law

We may suspend or terminate accounts that violate these rules without refund.

Intellectual Property

Govance owns all rights in the platform, including software, design, compliance database structure, branding, and documentation. These Terms do not transfer any ownership to you.

You retain ownership of the business information and documents you submit. You grant Govance a limited license to use that content solely to provide the service (calculate deadlines, send reminders, store files, and display your dashboard).

Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using Govance, you consent to that processing. You are responsible for ensuring you have the right to submit any business or client data you enter, especially on Agency plans.

Data Retention After Cancellation

After you cancel or close your account, we retain your data for 90 days, then permanently delete it from production systems, except where law requires longer retention. You may export your data from Settings before cancellation or request early deletion by emailing hello@govance.io.

Limitation of Liability

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. The service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless Kashyap LLC, its members, officers, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of Govance, violation of these Terms, inaccurate data you provided, or infringement of third-party rights by content you submit.

Modifications to Service

We may add, change, or discontinue features with reasonable notice when practicable. We will not materially reduce core compliance tracking functionality for paying subscribers without notice before their next renewal. Scheduled maintenance may temporarily interrupt access.

Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email to the address on your account before the new terms take effect. The updated “Last updated” date will appear at the top of this page. Continued use after the effective date constitutes acceptance.

Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Dispute Resolution

Before initiating formal proceedings, you agree to contact us at hello@govance.io and attempt to resolve the dispute in good faith for at least 30 days.

If the dispute is not resolved, any controversy or claim arising out of these Terms or Govance shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming, or by video conference if both parties agree. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the platform without first submitting to arbitration.

Class Action Waiver

You and Govance agree that disputes will be resolved only on an individual basis. Neither party may bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding. If this waiver is found unenforceable, the arbitration agreement in the prior section is void as to you, but the remainder of these Terms remains in effect.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
